Terms of Service

These Terms of Service ("Terms") govern your access to and use of writingstudio.com and the services provided by Writing Studio Ltd (trading as "Writing Studio," "we," "our," or "us"). These Terms are the entire agreement governing every engagement; we do not use separate order forms or statements of work unless we tell you otherwise in writing. By engaging our services or using our website, you agree to be bound by these Terms. These Terms also govern the participation of Expert Reviewers in our reviewer network, as described in Section 7.

1. Eligibility

Our services are available only to businesses, organizations, and individuals who are at least 18 years old. By engaging our services, you confirm that you meet this requirement and, where you are acting on behalf of a business or organization, that you have the authority to bind it to these Terms. Individuals who join our Expert Reviewer network must also be at least 18 years old and hold an active, verifiable professional license or credential in their stated specialty.

2. Our services

Writing Studio provides expert-reviewed content review and editing services and, for select clients, content creation services. For every engagement, we select a credentialed subject matter expert (an "Expert Reviewer"), including licensed doctors, attorneys, financial professionals, and other qualified specialists, based on the subject matter of your content and any specialty, credential, or location preferences you share with us. We'll make reasonable efforts to accommodate any preferences you share with us, but we don't guarantee a specific reviewer or that every preference can be matched for every engagement.

An engagement may include review and editing of existing content, creation of new content with expert involvement, or both, as agreed between you and Writing Studio.

We may use AI tools internally to support research, drafting assistance, or operational efficiency. All content is reviewed, edited, and signed off by a credentialed human Expert Reviewer before delivery.

3. Not professional advice

Review and sign-off by an Expert Reviewer reflects that individual's professional assessment of the content as written, at the time of review. It does not constitute individualized medical, legal, financial, or other professional advice to any reader of the content, and it is not a guarantee of any outcome for your business, including search ranking, traffic, or revenue. You remain responsible for how published content is used, presented, and represented to your own audience.

4. Engagement process and pricing

Review services are offered under the following general structure, with exact scope and price confirmed with you before work begins:

  • Trial Review: a single-page review, priced per page.

  • Review Package: a bundled review of an existing content library, priced by volume.

  • Ongoing Retainer: recurring monthly review of new content, priced by monthly volume.

Content creation engagements are scoped and priced individually, based on the specific content, subject matter, and Expert Reviewer required. We'll confirm price and scope with you before any billable work begins.

Pricing published on our website is indicative. The final scope, timeline, and price for any engagement are confirmed directly with you, generally within 24 hours of your inquiry, before any billable work begins. Any turnaround time we give you is an estimate, not a guarantee, and may be affected by the availability of an appropriately credentialed Expert Reviewer or by delays in your own responses to us.

We reserve the right to decline, pause, or requote any engagement where the submitted content requires substantial rewriting, remediation, or work beyond the agreed scope. Where significant extra work is required, we'll quote it separately before continuing.

5. Client responsibilities

To allow us to deliver services effectively, you agree to:

  • Provide content and any relevant background information accurately and in a timely manner

  • Respond to requests for clarification or feedback within a reasonable timeframe

  • Ensure you have the right to submit any content you provide to us for review

If you don't respond to a request for content, clarification, or feedback, we may pause your engagement. If we don't hear back from you within 60 days of pausing, we may treat the engagement as complete, and any fees already paid for it become non-refundable.

6. Content ownership

Reviewed content. You retain full ownership of all content you provide to us for review, both before and after the engagement. By submitting content for review, you grant Writing Studio and the assigned Expert Reviewer a limited license to access, review, and edit that content solely for the purpose of completing your engagement. We do not acquire any ownership interest in content you provide to us.

Created content. For content Writing Studio creates on your behalf, full ownership, including all rights, title, and interest in the intellectual property, transfers to you once the relevant invoice has been paid and the content has been accepted as complete.

7. Expert Reviewers, sign-off, and attribution

Where agreed as part of an engagement, the Expert Reviewer's name, professional credentials, and a short bio will be published alongside the reviewed or created content. This attribution reflects that reviewer's assessment of the content as it existed at the time of sign-off, and applies only to the specific page or content the reviewer actually reviewed.

You agree not to:

  • Attribute a reviewer's name, credentials, or sign-off to content that reviewer did not actually review.

  • Use a reviewer's name, credentials, photo, or bio in advertising, press materials, testimonials, or other social proof, or otherwise beyond the specific content that reviewer actually reviewed, or imply a broader endorsement or ongoing relationship with the reviewer.

  • Reuse a reviewer's sign-off on a version of content that has been materially edited since the review, without first obtaining a new review of the updated content.

A material edit is any change that could affect the factual accuracy of the content, goes beyond a minor correction such as spelling or grammar, or could reasonably create the impression of an endorsement that does not exist. We use our good-faith judgment to determine whether a change is material. Where a material edit requires a new review, it is charged at 40% of the original per-page rate for that content, with a minimum of $100 per page.

By joining our Expert Reviewer network and accepting an assignment, a reviewer agrees to be bound by the applicable provisions of these Terms and our Acceptable Use Policy, including the confidentiality and attribution terms in this section, and consents to their name, credentials, and bio being published alongside content they review and sign off on.

This is addressed further in our Acceptable Use Policy.

8. Confidentiality

We treat your content and business information as confidential. We are willing to execute a mutual non-disclosure agreement before discussing sensitive information in detail, on request.

This confidentiality obligation doesn't apply to information that is or becomes publicly available through no fault of ours, that we already lawfully knew before you shared it, that we develop independently without reference to your content, or that we're required to disclose by law.

9. Payment terms

Payment terms are confirmed in writing for each engagement at the time of scoping. Unless otherwise agreed, invoices are due within a reasonable period from the date of issue. Late payment may result in a pause of ongoing work until the account is brought current. We may charge reasonable interest on overdue invoices, and you agree to reimburse any reasonable costs, including legal fees, we incur in recovering unpaid amounts.

If we identify an erroneous or duplicate charge, or receive a chargeback from your card issuer or bank, we reserve the right to seek reimbursement from you for the amount involved, including by charging the payment method on file.

10. Cancellation and refunds

Trial Review and Review Package engagements are one-time, project-based engagements. Cancellation terms for work already scheduled or in progress will be confirmed at the time of booking.

Ongoing Retainer engagements are billed monthly and may be cancelled or adjusted with reasonable notice, as confirmed in your engagement agreement.

Refunds for work already delivered are handled on a case-by-case basis. If you are not satisfied with a review, we will revise it at no extra cost, provided the requested changes fall within the original scope and brief for that engagement. Requests that go beyond the original scope, introduce new requirements, or amount to a substantially new round of feedback may be quoted as additional work.

11. Reviewer availability and reassignment

If an Expert Reviewer assigned to your engagement becomes unavailable, for example due to illness, a scheduling conflict, or a change in their licensing status, we'll assign a comparably credentialed reviewer to complete the work. We aren't in breach of these Terms solely because the specific reviewer working on your engagement changes.

12. Force majeure

Neither party is liable for any delay or failure to perform an obligation under these Terms, other than an obligation to pay money already owed, caused by circumstances reasonably beyond that party's control, including natural disasters, war, civil unrest, internet or infrastructure outages, or an Expert Reviewer's unavailability due to illness or emergency.

13. Limitation of liability

To the maximum extent permitted by law, Writing Studio and its Expert Reviewers are not liable for indirect, incidental, or consequential damages arising from the use of reviewed or created content, including but not limited to loss of revenue, search ranking changes, or reader actions taken based on published content. Our total liability for any claim arising from an engagement, whether a review or a content creation engagement, is limited to the amount paid by you for that specific engagement.

Our services, and any content we review, edit, or create, are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose, except where such warranties cannot lawfully be excluded.

Nothing in these Terms limits liability that cannot be limited under applicable law.

14. Indemnification

You agree to indemnify and hold harmless Writing Studio and our Expert Reviewers from any claims, damages, liabilities, and reasonable legal costs arising from: (a) the content you submit to us, or our use of it, including any claim that it infringes, defames, or otherwise violates the rights of a third party; (b) your use, publication, or representation of reviewed or created content; (c) your use of an Expert Reviewer's name, credentials, sign-off, or bio; or (d) your breach of these Terms or our Acceptable Use Policy. This indemnity does not extend to claims arising from Writing Studio's or an Expert Reviewer's own negligence in performing a review.

Our Expert Reviewers are intended third-party beneficiaries of this Section 14 and of Section 13 (Limitation of liability), and may enforce these provisions directly against you.

15. Non-circumvention

During an engagement, and for 12 months after it ends, you agree not to engage, hire, or otherwise contract directly with an Expert Reviewer introduced to you through Writing Studio for content review, editing, or creation services, outside of Writing Studio, without our prior written consent. Expert Reviewers agree to the same restriction with respect to clients introduced to them through Writing Studio.

16. Relationship of the parties

Expert Reviewers are independent contractors, not employees, agents, or partners of Writing Studio. Nothing in these Terms creates an employment, partnership, or agency relationship between Writing Studio and any client or Expert Reviewer.

17. No waiver

If we don't enforce a provision of these Terms on any occasion, that isn't a waiver of our right to enforce it on another occasion.

18. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, or sale of assets, as described in our Privacy Policy.

19. Severability

If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full effect.

20. Notices

Any written notice under these Terms may be given by email, to support@writingstudio.com or to the email address you've provided us, and is treated as received on the day it's sent, unless the sender gets an automated delivery failure notice.

21. Termination

Either party may terminate an ongoing engagement with reasonable written notice, as specified in the applicable engagement agreement. We reserve the right to decline or terminate services for any client or Expert Reviewer who violates these Terms or our Acceptable Use Policy.

22. Governing law

These Terms are governed by the laws of New Zealand. Any disputes arising from these Terms or your use of our services will be subject to the exclusive jurisdiction of the courts of New Zealand, unless otherwise agreed in writing.

23. Changes to these terms

We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date at the top of this page. Continued use of our services after a change constitutes acceptance of the updated Terms.
